Class Content


In this Master Class, participants learn how legal due diligence affects how a deal is structured and, alternatively, how a definitive transaction structure affects due diligence. The instructor will (i) review a standard diligence request list and discuss what to look for when conducting diligence (on both the acquired and acquirer side) and (ii) cover practical tips on how to best approach and organize the diligence task. This Master Class surveys various areas of diligence and spotlights issues to anticipate; particular emphasis is given to assignment and change of control provisions.


Upon completion of this Master Class, participants are able to:

  • Prepare a basic due diligence checklist
  • Organize the due diligence process
  • Perform due diligence review of a variety of documents
  • Identify and articulate common due diligence issues

Simulation Exercise

Participants are tasked with modifying a due diligence request template to confirm to the parameters of a specific deal being negotiated by the client.

CLE Credit

Participants may earn up to 1 CLE credit in the State of California (General Credit). Application for New York, Florida and Texas accreditation of this program is currently pending for up to one (1) hour of CLE credit. Credit is for transitional and non-transitional attorneys in NY. This class is appropriate for both newly admitted and experienced attorneys. Financial Aid may be available for qualifying participants.
