Overview of an M&A Transaction
This Master Class introduces participants to the concept of M&A in broad terms. It starts by examining what constitutes an M&A transaction and what drives typical M&A deals, using real-world examples of recent M&A deals to illustrate these concepts. It explores the practical aspects of identifying and differentiating between the structural alternatives available for an M&A transaction, and highlights the advantages and disadvantages—corporate, tax, liability and others—of each structure in various contexts.
Upon completion of this Master Class, participants are able to:
- Identify and differentiate between structural alternatives for an M&A transaction
- Articulate the considerations in selecting a structure for a given transaction
- Apply these considerations to determine appropriate structure in context
Participants will prepare a brief memo to the client outlining the available structural alternatives for a proposed acquisition and briefly summarizing the relevant considerations. Participants then apply these considerations to recommend a structure for the client, given the circumstances provided.
Participants may earn up to 1 CLE credits in the State of California and New York (NY: Areas of Professional Practice; CA: General Credit). Credit is for transitional and non-transitional attorneys in NY. This class is appropriate for both newly admitted and experienced attorneys. Financial Aid may be available for qualifying participants.
