Overview
This class is designed to provide a deeper understanding of the overall transaction process focusing on public offerings and specifically IPOs, from inception to closing of a deal. The class starts by providing an overview of the practical steps, key considerations, and documentation that are involved at each stage of the deal process, and then leads participants through the regulatory restrictions applicable to each period in the offering process through closing. Particular focus will be given to the role of the junior associate in the process.
Level: Basic-Intermediate
This class is suitable for attorneys who have a general interest in Capital Markets and IPOs but have not had extensive practical experience.
**A general understanding of Capital Markets transactions and/or prior completion of AltaClaro’s Overview of Capital Markets is recommended.
Objectives
Upon completion of this course, participants will be able to:
- Describe the initial public offering (or IPO) process and typical working
group; - Differentiate between the different periods and the activities for each
period; - Review and comment on a registration statement;
- Advise a client on pre-IPO publicity; and
- Assemble basic documentation for a private placement.
Simulation Exercise
You are a junior associate working for a leading law firm. The firm represents an investment bank serving as the underwriter on an IPO being conducted by a fintech company that has developed a platform that enables users to easily send and receive crypto currencies. The company has had several successful funding rounds over the years and has achieved over $1 billion in revenue. Now, the company’s shareholders want to monetize their shareholdings and take the company public. The senior associate on the deal has asked you to review the draft prospectus summary.
